Virtual.ink End-User Licence Agreement

Effective date: October 13, 2026 · Version: 2026-10-13

1. Agreement and software

This End-User Licence Agreement (Agreement) is between Eric Pare Studio inc. (Licensor) and the person or organization authorized to use Virtual.ink (Customer). The software is licensed, not sold.

The Agreement includes the applicable order, plan, seat or count limits, documentation, and third-party licence notices distributed with the software.

2. Licence grant and activation

Subject to payment and compliance with this Agreement, the Licensor grants a limited, non-exclusive, non-transferable, non-sublicensable licence to use the software for the purchased term and authorized internal business purpose. Activation may require an email address, session token, machine binding, or periodic online validation.

The available features, seats, devices, counts, offline grace period, and term are those shown in the applicable order or licence record.

3. Customer content and optional services

Customer retains its rights in images, video, media, projects, metadata, and outputs submitted to or created with the software. Customer is responsible for having the rights and permissions needed to process that content.

Optional cloud, sharing, processing, or delivery features may transmit customer content or recipient information to Xangle-operated or third-party services. Processing files are temporarily stored while a requested cloud job is performed and its results are delivered. Xangle requests deletion from active transfer storage after the software confirms download, or when a job fails or is cancelled. Cleanup may be delayed by technical failures or provider backup and retention systems. The applicable feature disclosure and Privacy Policy describe this processing. Credit and job records may remain after processing files are deleted.

4. Cloud Credits and pricing

Where Cloud Credits are offered, they are usage units for eligible services, not cash or a promise of a fixed amount of processing. Rates may be calculated from service type and measures such as image count, training steps, and maximum resolution. Xangle may change credit pack prices, included credit grants, service rates, usage limits, and calculation methods prospectively at any time in response to market conditions, compute or storage costs, provider charges, technology, availability, or other operational factors.

Current purchase prices and service rates are shown before purchase or job submission. An estimate may change before a job is submitted and credits are reserved. Once credits are reserved, the rate recorded for that job will not be changed retroactively. A pricing change does not alter credits already posted to a balance, but may change the credits needed for future services. Changes apply to future purchases and service requests from their stated effective time.

4A. Optional AI Assistant

By accepting this Agreement and submitting an optional Assistant request, Customer authorizes transmission of prompts, limited conversation history, selected document or preset source, relevant editor settings, camera capabilities and geometry, and product documentation through Xangle Portal to AI providers, currently including Google Gemini, without a separate first-use approval. Merely opening Assistant does not submit an AI request. Customer may avoid this processing by not submitting requests.

Customer must have the necessary rights and permissions and must not submit credentials, secrets, or personal or confidential information it is not authorized to share. Assistant uses text and structured context rather than uploading underlying images or videos unless a separately disclosed feature requires them. Stable instructions and camera context may be temporarily cached. Provider processing may occur outside Customer's country and follows the provider's applicable terms and privacy practices, including retention, security logging, and any permitted service-improvement use. Starting a new chat clears active local history, not separate service, billing, or provider records. The Privacy Policy describes this processing and retention.

Replies may be inaccurate, incomplete, or unsuitable and are not professional advice. Supported proposals may automatically change the current editor or preset and may be saved when Auto-save is enabled. Customer must review changes and outputs, maintain appropriate backups, and supervise operational actions. Existing application confirmations and capability limits still apply. No successful result is guaranteed.

Assistant requests may consume Cloud Credits at the applicable rate even though the chat omits per-request prices and charge indicators. Submission authorizes the charge once accepted and reserved, including for failed generation or no usable or satisfactory answer. Requests rejected before reservation are not charged. Recovery or repair of the same request does not create another charge; new requests may incur new charges. Recorded rates are not changed retroactively. This paragraph governs Assistant disclosure and charging where it differs from Section 4, subject to mandatory law.

5. Restrictions, updates, and termination

You must not copy, modify, reverse engineer, decompile, distribute, resell, sublicense, or operate the software as a service except where applicable law or a third-party licence permits it. You must not bypass licensing, usage limits, authentication, telemetry, or security features.

The Licensor is not obligated to provide updates or support unless the applicable order says otherwise. The licence ends on expiry, non-payment, or material breach. On termination, stop using and delete the software and copies, subject to mandatory legal retention.

6. Warranty, liability, and law

To the maximum extent permitted by law, the software is provided as-is and as-available without a promise that it will be uninterrupted, error-free, secure, or compatible with every hardware, driver, host, or network environment. To the maximum extent permitted by law, the Licensor is not liable for indirect or consequential loss and total liability is limited to the amount paid for the applicable software during the preceding twelve months.

This Agreement is governed by the laws of Quebec and the federal laws of Canada applicable there, except where mandatory law requires otherwise. Questions may be sent to privacy@xangle.net or the support channel provided with the software.
